This
section provides brief information on how the club is run. The main governing rules and regulations of the Club are set out in the Memorandum and Articles of Association of the company, and it is also governed by subsidiary rules and bye-laws. Copies of these are available to members upon written request to the General Secretary. The Club operates in accordance with English law. The Ford Sidevalve Owners' Club is incorporated as guarantee company with the liability of members being limited to £1 Sterling per member. The Club is a non-profit making mutual company as defined by various UK Tax Acts. The Club must not sell, or allow to be sold, spare parts, books, regalia or the benefits of membership to anyone who is not a paid-up member of the Club. . Authority and day-to-day management of the Club is vested in a Council of Management comprising the Chairman, General Secretary (Company Secretary), Membership Secretary and Treasurer. All Council members are registered as directors of the company. In addition to the Council, management of the club is invested in a Management Committee, which usually comprises officers responsible for areas such as model registers, magazine production, remanufacture, spares sales and the club's archives. The Management Committee meets at least four times every year. Election to Membership of the Club is dependent upon payment of the relevant subscription and approval by the Committee. Most members are classed as Ordinary Members. All Council and Committee members stand down, but are eligible for re-election, at every Annual General Meeting. All those involved in the running of the club are unpaid volunteers. The Club's accounts are independently audited and presented to members at each Annual General Meeting, and a copy is filed with Companies House in London. The Club is recognised by the Ford Motor Company. |
